Please read these terms carefully before using our bookkeeping services.

These Terms & Conditions ("Terms") govern your use of the services provided by LedgerFlow Solutions ("Company," "we," "us," or "our"), operated from G N Complex, Ward 12-B, Police Station Road, Gandhidham, Kutch — 370201, Gujarat, India. By engaging our services or accessing our website at https://ledgerflowsolutions.com, you ("Client," "you," or "your") agree to be bound by these Terms in their entirety.

1. Acceptance of Terms

By accessing our website, requesting a consultation, or entering into a service agreement with LedgerFlow Solutions, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree with any part of these Terms, you must not use our services.

These Terms apply to all clients, visitors, and any other persons who access or use our services. We reserve the right to update these Terms at any time, and your continued use of our services following any changes constitutes acceptance of those changes.

2. Services Description

LedgerFlow Solutions provides professional bookkeeping services to businesses located in the United States and Canada. Our services include, but are not limited to:

  • Monthly bookkeeping and transaction categorization
  • Bank and credit card reconciliation
  • Financial statement preparation (Profit & Loss, Balance Sheet, Cash Flow)
  • Year-end tax-ready book preparation
  • Accounting software setup and migration (QuickBooks Online, Xero, Zoho Books, FreshBooks)
  • Accounts payable and accounts receivable management
  • Catch-up and clean-up bookkeeping

Important Disclaimer: LedgerFlow Solutions is not a Certified Public Accountant (CPA) firm, Chartered Accountant (CA) firm, or a licensed tax advisory firm. We do not provide tax filing, tax advisory, audit, assurance, attestation, or legal services. Our services are limited to bookkeeping and financial record-keeping. Clients requiring tax filing, audit, or legal advice should engage a qualified CPA, CA, or legal professional.

3. Client Responsibilities

To enable us to deliver accurate and timely bookkeeping services, you agree to:

  • Provide accurate and complete financial data — including bank statements, receipts, invoices, and any other documents required for bookkeeping.
  • Grant timely access — to your accounting software, bank feeds, and any third-party platforms necessary for us to perform our services.
  • Respond promptly — to our requests for clarification, missing information, or approval of transactions.
  • Review deliverables — and notify us of any discrepancies or concerns within a reasonable timeframe (typically 7 business days of delivery).
  • Maintain valid software subscriptions — for any accounting platforms used in connection with our services.
  • Ensure lawful operations — and confirm that all financial information provided to us relates to legitimate business activities.

Delays or inaccuracies resulting from the Client's failure to fulfill these responsibilities shall not be attributed to LedgerFlow Solutions.

4. Intellectual Property

All content on the LedgerFlow Solutions website — including text, graphics, logos, icons, images, and software — is the property of LedgerFlow Solutions or its content suppliers and is protected by applicable intellectual property laws.

  • You may not reproduce, distribute, modify, or create derivative works from any material on our website without our prior written consent.
  • Any custom templates, processes, or proprietary tools developed by LedgerFlow Solutions during the course of providing services remain our intellectual property.
  • All financial data and records belonging to the Client shall remain the Client's property. Upon termination of services, we will provide reasonable access to your data as outlined in Section 9.

5. Confidentiality & Non-Disclosure

We understand the sensitive nature of financial information. LedgerFlow Solutions commits to maintaining strict confidentiality regarding all Client data:

  • Protection of Information: All financial records, business data, and personal information shared with us will be treated as confidential and will not be disclosed to any third party without your explicit written consent, except as required by law.
  • Employee Obligations: All LedgerFlow Solutions team members are bound by internal confidentiality agreements and are trained in data protection best practices.
  • Data Security: We employ industry-standard security measures, including encrypted communications, secure file-sharing platforms, and restricted access controls to protect your data.
  • Survival: Confidentiality obligations shall survive the termination of the service agreement for a period of three (3) years.

If a separate Non-Disclosure Agreement (NDA) is executed between the parties, the terms of that NDA shall take precedence over this section to the extent of any conflict.

6. Limitation of Liability

To the maximum extent permitted by applicable law:

  • LedgerFlow Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to our services, including but not limited to loss of profits, data, or business opportunities.
  • Our total cumulative liability for any claim arising from or related to our services shall not exceed the total fees paid by the Client to LedgerFlow Solutions during the three (3) months immediately preceding the event giving rise to the claim.
  • We shall not be held liable for errors, penalties, or financial losses resulting from inaccurate, incomplete, or untimely information provided by the Client.
  • We shall not be liable for any decisions made by the Client based on the financial reports or bookkeeping records we prepare.
  • Force majeure events — including natural disasters, pandemics, government actions, internet outages, or any circumstances beyond our reasonable control — shall excuse our performance obligations for the duration of such events.

7. Disclaimer

The bookkeeping services provided by LedgerFlow Solutions are not a substitute for professional accounting advice, tax advice, legal advice, or audit services. Specifically:

  • Our services are provided on an "as-is" basis. While we strive for accuracy and timeliness, we do not warrant that our services will be uninterrupted or error-free.
  • We do not provide tax planning, tax filing, or tax advisory services. Year-end tax-ready preparation is limited to organizing and finalizing your books so that your CPA or tax professional can efficiently file your returns.
  • We do not provide legal, investment, or financial advisory services.
  • Clients are solely responsible for verifying the accuracy of their financial records and for making business decisions based on those records.
  • We make no representations or warranties regarding the compliance of your financial records with any specific regulatory requirement unless explicitly agreed upon in writing.

8. Payment Terms

  • Invoicing: Invoices are issued on a monthly basis (or as otherwise agreed upon in the service agreement) and are due within 15 days of the invoice date unless a different payment schedule has been agreed upon in writing.
  • Accepted Methods: Payments may be made via bank transfer, wire transfer, or any other method specified in your invoice.
  • Late Payments: Invoices not paid within the due date may incur a late fee of 1.5% per month (or the maximum rate permitted by law, whichever is lower) on the outstanding balance.
  • Suspension of Services: LedgerFlow Solutions reserves the right to suspend services if payment remains outstanding for more than 30 days past the due date, after providing written notice.
  • Disputes: Any billing disputes must be raised in writing within 10 days of the invoice date. Undisputed portions of invoices remain payable by the original due date.
  • Refunds: Fees for completed work are non-refundable. Refund requests for prepaid but undelivered services will be evaluated on a case-by-case basis.

9. Termination

  • By Either Party: Either party may terminate the service agreement by providing 30 days' written notice to the other party via email.
  • Immediate Termination: LedgerFlow Solutions reserves the right to terminate services immediately if the Client breaches any material term of these Terms, engages in fraudulent activity, or fails to make payment for more than 60 days.
  • Effect of Termination: Upon termination, the Client shall pay for all services rendered up to the effective date of termination. LedgerFlow Solutions will provide the Client with access to their financial data and records within 15 business days of termination.
  • Transition Assistance: Upon request and at an agreed-upon fee, LedgerFlow Solutions may provide reasonable transition assistance to help transfer bookkeeping responsibilities to the Client or a new service provider.

10. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

  • Any disputes arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in Gandhidham, Kutch, Gujarat, India.
  • While LedgerFlow Solutions provides services to clients in the United States and Canada, the engagement is performed from India, and Indian law shall apply to the contractual relationship unless a separate written agreement specifies otherwise.
  • Clients in the US and Canada acknowledge and consent to this jurisdiction by engaging our services.

11. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or our services, the parties agree to the following resolution process:

  1. Informal Negotiation: The parties shall first attempt to resolve the dispute through good-faith informal negotiation for a period of 30 days from the date written notice of the dispute is provided.
  2. Mediation: If the dispute cannot be resolved through negotiation, the parties agree to submit the dispute to mediation administered by a mutually agreed-upon mediator in Gandhidham, Gujarat, India. The costs of mediation shall be shared equally between the parties.
  3. Arbitration: If mediation fails, the dispute shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India). The arbitration shall be conducted in English, and the seat of arbitration shall be Gandhidham, Gujarat, India.

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm.

12. Indemnification

You agree to indemnify, defend, and hold harmless LedgerFlow Solutions, its directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or relating to:

  • Your breach of any term or condition of these Terms.
  • Your provision of inaccurate, incomplete, or misleading financial information.
  • Any third-party claims resulting from your use of the bookkeeping records or financial reports prepared by us.
  • Your violation of any applicable law, regulation, or third-party rights.
  • Any unauthorized use of our services or intellectual property.

13. Changes to Terms

LedgerFlow Solutions reserves the right to modify, amend, or update these Terms & Conditions at any time without prior notice. Changes will be effective immediately upon posting the updated Terms on our website.

  • The "Last Updated" date at the top of this page will reflect the most recent revision.
  • We encourage you to review these Terms periodically to stay informed of any changes.
  • For active clients, material changes to these Terms will be communicated via email at least 15 days before they take effect.
  • Your continued use of our services after any modifications constitutes your acceptance of the revised Terms.
